Definitions

  • Services Simulate provides license holders and their users with access to a variety of resources including online applications and installed software, download areas, communication forums and product information (collectively “Services”). The Services, including any updates, enhancements and new features, are subject to these Terms of Use.
  • Support (Academic) Simulate Support Academic operates by email Monday to Friday.
  • Support (Corporate) Simulate Support Corporate operates 24/7 and is detailed on the customer invoice.
  • User(s) – services are licensed to an organisation or institution who in turn provide access through their current and executed license agreement to members of their organisation or institution referred to as User(s)

By accessing this application you agree to the Deed of Confidentiality, Copyright and Intellectual Property.


Recitals
1. In the course of the User liaising with Simulate Services the User may become aware of information belonging to or in the possession of Simulate that is confidential.
2. Improper use or disclosure of that information would severely damage Simulate’s ability to perform its business.
3. Simulate requires, and the User agrees, that it is necessary to take all reasonable steps (including the execution of this Deed) to ensure that Simulate’s Confidential Information and Intellectual Property is kept confidential.
4. The User agrees that it accepts the Services of Simulate faithfully and without any conflict of interest.
5. Intellectual Property belonging to Simulate will not in any way be violated by this agreement.
6. The User will not in any manner violate the Intellectual Property Rights of Simulate
7. All Copyright belonging to Simulate will not in any way be violated by this agreement.

Business Domain

Simulate provides services to the User in good faith and the customer agrees that they will not develop, reverse engineer or market any product to emulate or compete with any Simulate Services.

Confidential Information

Confidential Information means information that:
1. is by its nature confidential
2. is designated by Simulate as confidential; or
3. Simulate or the User know, or ought to know, is confidential;
and includes:-
a. information comprised in or relating to any Intellectual Property Rights of Simulate;
b. information relating to the internal management and structure of Simulate, or the personnel, policies and strategies of Simulate;
c. information of Simulate to which the User has access;
d. information in the Users possession relating to Simulate’s Users, clients or suppliers, and like information.

Intellectual Property Rights

Includes copyright, trademark, design, patent, trade, business or company names, confidential or other proprietary rights, or any rights to registration of such rights, whether created before or after the date of this Deed and whether created in Australia or elsewhere.

Non Disclosure

1. The User must not disclose the Confidential Information to any person.
2. In the event that Recipient becomes compelled by lawful process (such as interrogatories, subpoenas, or civil investigative demands) to disclose any of the Disclosing Party’s Confidential Information, Recipient shall provide Disclosing Party with prompt written notice so that Disclosing Party may seek a protective order or other appropriate remedy, or both, or waive compliance with the provisions of this Agreement. Failing the entry of a protective order or other appropriate remedy of a waiver hereunder, Recipient shall furnish only that portion of the Confidential Information which it is advised by written opinion of its counsel is legally required to be furnished and shall exercise all reasonable efforts to obtain reliable assurance that confidential treatment shall be accorded such Confidential Information.

Restrictions of Use

The User will use the Confidential Information only for the purpose of its dealings with Simulate (whether directly or indirectly).

Survival

This Deed will survive the termination or expiry of the licensing of Simulate Services to the customer by Simulate (whether directly or indirectly).
This Deed supersedes any prior or contemporaneous oral or written agreements with respect thereto. Neither party may assign or otherwise transfer this Agreement, or any of its rights or obligations hereunder, to any third party.

I. AIRLINE Online Terms and Conditions

A. Binding Terms and Conditions
The establishment of an account and/or the participation in any AIRLINE Online simulation confirms your acknowledgement of and agreement to be bound by our Terms and Conditions. As these Terms and Conditions are subject to change, you further acknowledge your responsibility to regularly review this agreement for future changes. 

B. Entire Agreement
These Terms and Conditions represent the entirety of your agreement with Simulate which you cannot modify. Simulate in its sole discretion has the authority to modify these Terms and Conditions. 

C. Severability
If any portion of these Terms and Conditions is deemed void or unenforceable, then that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of the remaining provisions. 

D. Competition Rulings
By participating in any Competition you as an entrant agree to be bound by the terms and conditions (and any other rules which apply to each such Competition) and by our decisions, which are final in all matters relating to the Competition.

II. Responsibilities and Conditions

A. Property Rights
By establishing an account and/or participating in any AIRLINE Online simulation you are acknowledging that the entirety of AIRLINE Online's content is the protected material and intellectual property of Simulate. You acknowledge that you are provided with access to this information and software for your own individual use, and you agree not to copy, change, sell, publish, or in any other way exploit this information for any other purposes. 

B. Privacy Policy
Simulate requires users to register in order to use this simulation. During this registration process, Simulate may ask for Personal Information, which AIRLINE Online will use in accordance with this Privacy Policy.

Simulate reserves the right to change this policy from time to time. Although Simulate will usually indicate major changes by notice on our site, it is your responsibility to regularly review this agreement for changes.

Simulate has made a every effort to ensure the security of our users. As such, you can have a high degree of confidence that the personal information you give to Simulate is protected from unauthorized access and use. 

C. Technical Configuration
It is your sole responsibility to confirm the technical compatibility between your computer system and the AIRLINE Online site. 

D. Submissions
You agree that any information (photos, questions, scenario suggestions, functional requests, etc.) you may submit to Simulate will become the sole property of Simulate. No information submitted by you will be subject to any confidentiality agreement. You agree that all submissions will become the exclusive property of Simulate without any compensation accruing to you. We may republish information you provide to us without attribution and reserve the right to edit, modify or alter material you provide to us. 

III. Limited Liability

A. General Disclaimer
You agree to hold Simulate invulnerable to any loss, damage, injury resulted from use, access, or attempts of misuse or unauthorized access to AIRLINE Online or other Simulate software, whether direct or indirect. You further agree that Simulate is not liable for any damages to your computer (or any hardware in general) resulting from any attempts to access AIRLINE Online or any other Simulate software. 

B. No Warranty
AIRLINE Online is delivered "as is," without a warranty of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. No person affiliated or claiming affiliation with AIRLINE Online or Simulate has the authority to extend such warranties.  

C. Account Termination
AIRLINE Online reserves the right to terminate your account or decline the limit of your participation in any simulation for any reason, including, but not limited to, excessive technical failures, suspected fraud, the posting of objectionable material, or a breach of any of these Terms and Conditions. 

D. Anti-Hacking Policy
Any attempt to gain unauthorized access to Simulate�s systems or AIRLINE Online, interfere with procedures or performance of AIRLINE Online, to make use of any third party or external program, to alter the outcome or performance of a simulation, or to deliberately damage or undermine AIRLINE Online is subject to civil and/or criminal prosecution and will result in immediate termination of your account. 

E. Account User Restrictions
As the holder of your account, you are solely responsible for all obligations and are entitled to all benefits thereof, and may not allow any other person to access your account, access AIRLINE Online. Your account is not transferable to any other person. By registering and/or participating in any simulation offered by Simulate or AIRLINE Online, you agree to indemnify, defend, and hold Simulate and AIRLINE Online harmless from or for any claims, liability, damages, and/or costs (including attorney/legal fees) arising from any use of your account by another person. 

DISCLAIMER

By taking part in the AIRLINE Online Tournament provided by airlinesimulation.com or Efzed Pty Ltd you do so at your own risk and Efzed or airlinesimulation.com may not be held responsible for any loss, damage or stress that you may experience as a result of taking part in the AIRLINE Online Tournament. All successful entrants must also accept and abide by our terms of entry as stated in our Terms & Conditions notice. Failure to abide by our Terms & Conditions will render any entrants entry as void and no compensation or refunds will be made towards the individual or individuals concerned.

If for any reason the Internet portion of the program is not capable of running as planned, due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Efzed which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this contest, Efzed reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the contest. Efzed assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Efzed is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer online systems, servers or providers, computer equipment, software, failure of any email or entry to be received by Efzed on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in the AIRLINE Online tournament. CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, EFZED RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH CONTESTANT RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute, entries made by Internet will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted email address.
